This continuing Unconditional Parent Guaranty (“Guaranty”) is entered into as of December 6, 2019, by RGC RESOURCES, INC., a Virginia corporation (“Guarantor”), in favor of each of the Holders (as defined below).

Reference is made to (i) the Private Shelf Agreement dated as of September 30, 2015 (as amended from time to time including by the First Amendment dated as of September 30, 2017, the “Shelf Agreement”), between Roanoke Gas Company (the “Company”), on the one hand, and PGIM, Inc. (fka Prudential Investment Management, Inc.) (“Prudential”) and each Prudential Affiliate which becomes party thereto, on the other hand. Capitalized terms used in this Second Amendment (this “Second Amendment”) without definition shall have the meanings given such terms in the Shelf Agreement.
