This Distribution Agreement (“Agreement”) is made and entered into as of August 10, 2004 (“Effective Date”), by and between ASE International Inc., a New York Company, with business offices at Edgewood, New York (“Distributor”) and Medis Technologies Ltd., a Delaware corporation, with business offices at 805 3rd Avenue, New York, NY 10022 (“Medis”). Distributor and Medis are referred to in this Agreement as the “Parties” collectively, and each individually as a “Party.”
