This Distribution Agreement (“Agreement”) is made and entered into as of October 29, 2006 (“Effective Date”), by and between Quasar Business Solutions, with business offices at 2455 Dollarton Hwy, North Vancouver, BC V7H 1B1 (“QBS”) and Medis Technologies Ltd., a Delaware corporation, with business offices at 805 3rd Avenue, New York, NY 10022 (“Medis”). QBS and Medis are referred to in this Agreement as the “Parties” collectively, and each individually as a “Party.”

This Cooperation Agreement is entered into this 18th day of October, 2006 by and between More Energy Ltd., a company organized under the laws of Israel (“More”), and Israel Aircraft Industries Ltd., a company organized under the laws of Israel (“IAI”).
