SECURITY AGREEMENT made by National Datacomputer, Inc., a Delaware corporation (the “Debtor”) in favor of Bruna Bucacci, in her capacity as agent for the Secured Parties (as defined herein, the “Agent” and in her capacity as Lender), the Lenders who agree to the terms of this Agreement either by executing the signature page hereto or by executing a counterpart signature in the form attached to this Agreement (such investors collectively, the “Secured Parties”). Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Secured Convertible Notes purchased and to be purchased by the Secured Parties pursuant to the Company’s Confidential Private Offering Memorandum dated April 21, 2010 and those certain subscription agreements (collectively, the “Subscription Agreements”) by and between Debtor and each of the Secured Parties (the “Notes”).
