THIS ASSET PURCHASE AGREEMENT (the “Agreement”), dated as of January 10, (the “Effective Date”), is entered by and among Micronet Ltd., a company incorporated under the laws of the State of Israel ("Micronet”), those parties listed in Schedule I (the “Secured Parties”) who hold a security interest in all the assets of National Datacomputer, Inc, a company incorporated under the laws of Delaware (”NDI") and NDI.
