This Asset Purchase Agreement (this “Agreement”) is made and entered into on the 30th day of April, 2012 (the “Execution Date”), by and among (a) Sutron Corporation, a Virginia corporation (the “Buyer’”), (b) IPS MeteoStar, Inc., a California corporation (the “Company” or “IPSM”), (c) Information Processing Systems of California, Inc., a California corporation (the “Parent Company” or “IPS”), (d) Clarence L. Boice (“Clarence”), and (e) Shirley H. Boice (“Shirley”). The Company, the Parent Company, Clarence and Shirley are sometimes referred to herein individually as a “Seller” and collectively as the “Sellers”; and the Buyer, the Company, the Parent Company, Clarence and Shirley are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”
