THIS SECURITIES PURCHASE AGREEMENT (as amended, modified, supplemented or restated in accordance with its terms from time to time, this “Agreement” or “SPA”) is between GAMMA PHARMACEUTICALS INC., a Delaware corporation and its affiliates (the “Company”), and KENRIDGE HOLDINGS LLC (the “Purchaser”).

This Amended and Restated License Agreement (“Agreement”) is entered into this 14 day of July, 2008, by and between Jugular, Inc. (“Licensor”), a California corporation residing at 18685 Main Street, Suite 101, Huntington Beach, California 92648 and Gamma Pharmaceuticals, Inc. (“Licensee”), a Delaware corporation residing at 7477 W. Lake Mead Blvd., Suite 170, Las Vegas, Nevada 89128.
