THIS TRANSITION SERVICES AGREEMENT (this “Agreement”) is made and entered into as of this _____ day of _______, 2014, by and between Bollente Companies, Inc., a Nevada corporation having its principal place of business at 8800 N. Gainey Center Dr., Suite 270, Scottsdale, AZ 85258 (“BOLC”), and Nuvola, Inc., a Nevada corporation having offices at 8800 N. Gainey Center Dr., Suite 270, Scottsdale, AZ 85258 (“NUVOLA”).

THIS SEPARATION AND DISTRIBUTION AGREEMENT (including all exhibits and schedules hereto, the "Agreement"), dated as of _________, 2014, is by and between BOLLENTE COMPANIES INC., a Nevada corporation ("BOLC") and NUVOLA, INC., a Nevada corporation ("NUVOLA"). Capitalized terms used herein and not otherwise defined shall have the respective meanings assigned to them in Article 1 hereof.
