THIS AGREEMENT (the “Agreement”), is made and entered into as of this ____ day of January 2008, by and between Mirador Consulting, Inc., a Florida corporation, with offices at 5499 N. Federal Hwy, Suite D, Boca Raton, Florida 33487 (“Mirador” or the “Consultant”), and Silvergraph International, Inc. a Nevada corporation, with offices at 11919 Burke Street, Santa Fe Springs, CA 90670 (the “Company”) (together the “Parties”).

The undersigned Holders of the 7% Notes due May 31, 2008 and related Subscription Agreement and Security Agreement (“Bridge Agreement”) hereby amend the following terms of the Bridge Agreement as set forth below. Terms contained in the Bridge Agreement that are not amended by this 1st Amendment shall remain the same and in full force and effect.

THIS TERMINATION AGREEMENT is effective March __, 2008 (the “Effective Date”) by and between New Era Studios, Inc., a Nevada corporation (the “Company”), Silvergraph International, Inc., a Nevada corporation, (“Silvergraph”) and the undersigned (collectively as “Executives” and individually “Executive”).
