This Securities Purchase Agreement (this “Agreement”) is dated as of March 3, 2011, by and among GOOD EARTH LAND SALES COMPANY, a Florida corporation (collectively with its predecessors, the “Company”), PETIE MAGUIRE, an individual (the “Controlling Stockholder”) and TRESOR JEWELLERY GROUP LIMITED, a BVI company (the “Investor”). Each of the Company, the Controlling Stockholder and the Investor is referred to herein as a “Party” and collectively, as the “Parties.”
