THIS COCONNECT, INC. LOCK-UP AND LEAK-OUT AGREEMENT (to include Schedule A and Exhibit 1, which is collectively the “Agreement”) is dated this 19th day of December, 2011(the “Effective Date”) by and among CoConnect, Inc. (the “Company” or a “Party”), and the undersigned shareholder, officer or director of the Company (the “Shareholder”) in anticipation of the acquisition of a number of precious metals properties.

THIS FIRST AMENDED REDEMPTION AGREEMENT (the “First Amended Agreement”) is effective as of December 18, 2011 (the “Effective Date”) by and between (i) CoConnect, Inc., a Nevada corporation (the “Company”) and BCGU, LLC, a limited liability company (“BCGU”). The Company and BCGU may be individually referred to herein as a “Party” and collectively as the “Parties.”
