Exchangeco, a wholly owned subsidiary of FEC, has offered to purchase the issued and outstanding shares of MJM that are held by Canadian Selling Shareholders and FEC has offered to purchase all of the remaining issued and outstanding shares of MJM (the “Transaction”);

Dividends and Distributions: Except as required by applicable law or as authorized by the provisions of a proposed Voting and Exchange Trust Agreement to be entered into among MarilynJean Holdings Inc., the Corporation and Chester Ku, a copy of which is attached as Exhibit 1 to this Schedule “A” (the “Voting Agreement”), neither the holder nor the owner, if different, of the Series A Special Voting Shares shall be entitled to receive any dividends or distributions of the Corporation, whether payable in cash, property or in shares of capital stock.
