This, MINERAL LEASE AGREEMENT AND OPTION TO PURCHASE hereinafter referred to as "Agreement," made and entered into by and between IMA-1, LLC, 2705 Lorraine Drive, Missoula, MT 59803 hereinafter referred to as "Owner," and Bardswich, Idaho, LLC, 571 Cedar Hills Road, Whitehall, MT 59759. its assigns and successors, hereinafter referred to as "Lessee."

THIS ASSIGNMENT AGREEMENT (the “Agreement”) is made and entered into as of July 23, 2007 (the “Effective Date”) by and among Bardswich, Idaho LLC, an Idaho limited liability company (“Assignor”), Gentor Idaho, Inc., an Idaho corporation (“Assignee”) and Gentor Resources, Inc., a Florida corporation (the “Company”).

TO HAVE AND TO HOLD the premises with its appurtenances unto the said Grantees, their heirs and assigns forever. And the said Grantors do hereby covenant to and with the said Grantees, that they are the owners in fee simple of said premises that said premises are free from all encumbrances except the current year’s taxes and assessments, conditions, covenants, restrictions, reservations, easements, rights and rights of way, apparent or of record and that they will warrant and defend the same from all lawful claims whatsoever.
