The undersigned, Zhong Yuan Bio-Technology Holdings Limited, a Cayman Islands exempted company (the “Company”), hereby confirm this agreement (this “Agreement”) with Revere Securities, LLC (hereinafter referred to as “you” (including its correlatives) or the “Representative”) and with the other underwriters named on Schedule 1 hereto for which the Representative is acting as representative (the Representative and such other underwriters being collectively called the “Underwriters” or, individually, an “Underwriter”) as follows:

According to the Civil Code of the People's Republic of China, the Regulations on the Management of Rural Collective Assets in Beijing and the spirit of the relevant documents of the urban area, Party A and Party B, after equal consultation, enter into this contract regarding the lease of Party A's collective assets by Party B.
