NEITHER THIS WARRANT NOR THE SECURITIES ISSUABLE UPON ITS EXERCISE MAY BE SOLD, TRANSFERRED, HYPOTHECATED, OR OTHERWISE DISPOSED OF UNLESS A REGISTRATION STATEMENT UNDER THE ACT IS IN EFFECT AS TO SUCH TRANSFER, THE TRANSFER IS MADE IN ACCORDANCE WITH RULE 144 UNDER THE ACT OR AS OTHERWISE PERMITTED BY THE COMPANY, OR, IN THE OPINION OF COUNSEL SATISFACTORY TO THE COMPANY, REGISTRATION UNDER THE ACT IS UNNECESSARY IN ORDER FOR SUCH TRANSFER TO COMPLY WITH THE ACT AND WITH APPLICABLE STATE SECURITIES LAWS.

This Registration Rights Agreement (this “Agreement”) is made and entered into as of March 5, 2008, between Monument Resources, Inc., a Colorado corporation (“Company”) and the investors signatory hereto (each such investor is a “Holder” and all such investors are, collectively, the “Holders”).

This UNIT PURCHASE AGREEMENT (the “Agreement”) is made as of the 5th day of March, 2008 by and between Monument Resources, Inc., a Colorado corporation (“Monument” or the “Company”), and MNB Energy, LLC (“MNB”) and A.G. Foust (“Foust”). MNB and Foust are referred to herein collectively as the “Investors” however their rights and obligations hereunder are several and not joint, as indicated in Exhibit A hereto.
