This Agreement and Plan of Merger (this “Agreement”) is made and entered into effective as of January 31, 2013, among NetREIT, Inc., a Maryland corporation (“NRI”), NTR Property Management, Inc., a California corporation (“NTR”), and C I Holding Group, Inc., a California corporation (“CIH”).
