THIS LOAN EXTENSION AND MODIFICATION AGREEMENT (“Agreement”) is entered into as of February 27, 2013, by and between National Integrity Life Insurance Company, a New York corporation (“Lender”), and NetREIT Garden Gateway LP, a California limited partnership (“Borrower”).

THIS DEED OF TRUST, SECURITY AGREEMENT, ASSIGNMENT OF LEASES AND RENTS AND FIXTURE FILING (this "Deed of Trust") is made as of the 27th day of February, 2013, by NetREIT National City Partners, LP, a California limited partnership (the "Trustor"), whose address is 1282 Pacific Oaks Place, Escondido, California 92029 in favor of Western-Southern Life Assurance Company, an Ohio corporation (the "Beneficiary"), whose address is 400 Broadway, Cincinnati, Ohio 45202.

FOR VALUE RECEIVED, the undersigned, NetREIT National City Partners, LP, a California limited partnership ("Borrower"), promises to pay to the order of Western-Southern Life Assurance Company, an Ohio corporation, ("Lender") at its Home Office located at 400 Broadway, Cincinnati, Ohio 45202 or at such other place as Lender may from time to time designate in writing, the principal sum of Ten Million Eight Hundred Thousand and No 100 Dollars ($10,800,000.00) (the “Loan”), together with interest on the unpaid principal balance from time to time outstanding in accordance with the provisions of this Promissory Note (the “Note”).
