This letter sets out the agreement (“Agreement”) reached among TEAMUPSPORT INC. as purchaser (“the “Purchaser”), and Sandwich Isles Trading Co. Inc. (the ”Vendor") regarding the transfer and sale by the Vendor of all of its assets and business to the Purchaser upon the terms and conditions set forth herein. Shaun Roberts (“Roberts”) and Steven M. Schorr (“Schorr”) as major shareholders and management of the Vendor agree to the terms hereof.
