This Consolidated Tribune Media Services Licensed Data Agreement and Services (“Agreement”) dated November 1, 2010 (“Consolidated Effective Date”) amends and restates the Tribune Media Services Licensed Data Agreement effective as of the 14th of May 2007 (“Effective Date”) between Tribune Media Services, Inc. (“TMS”), a Delaware corporation having a place of business at 435 N. Michigan Ave., Chicago, IL 60611, and TiVo Inc. (“TiVo” or “Licensee”), a Delaware corporation having a place of business at 2160 Gold Street, Alviso, California 95002, as further amended by the parties on November 15, 2007, and in the First Amendment entered into on June 1, 2009.
