PRELIMINARY STATEMENT. The Borrower, the lenders parties thereto and JPMorgan, as agent, are parties to the Second Amended and Restated Five Year Credit Agreement dated as of March 28, 2014 (the “Existing Credit Agreement”). Subject to the satisfaction of the conditions set forth in Section 3.01, the Borrower and the parties hereto desire to amend and restate the Existing Credit Agreement as herein set forth.
