THIS AGREEMENT AND PLAN OF REORGANIZATION dated as of [August ___, 2016], (the "Agreement") is by and among (i) the Allianz Variable Insurance Products Trust (the "Trust" or the "Selling Trust"), a Delaware statutory trust, on behalf of each of its series identified as an "Acquired Fund" in the table below, (ii) the same statutory trust (in this role, the "Buying Trust") on behalf of each of its series identified as an "Acquiring Fund" in the table below, and (iii) solely for the purposes of Section 11 of the Agreement, Allianz Investment Management LLC (the "Manager"). The reorganizations of the Acquired Funds into the corresponding Acquiring Funds described herein are included together in this Agreement for administrative convenience only. The Agreement shall be treated for all purposes as if it were a separate Agreement among the Selling Trust, the Buying Trust and the Manager with respect to the reorganization of each Acquired Fund into the corresponding Acquiring Fund.
