This Separation Agreement and Release (this “Agreement”) is entered into between Charter Communications, Inc. (the “Company” or “Charter”) and me, Wayne Davis, as a condition to and in order to receive payments under my Employment Agreement with Charter dated as of September 7, 2005 (the “Employment Agreement”) as a result of a separation from employment as of March 23, 2006 other than for Cause.
