THIS ASSET PURCHASE AND SALE AGREEMENT is made as of the 17th day of March, 2005 by and between RP Products, LLC, a limited liability company organized under the laws of Delaware (the "Purchaser") and Crompton Corporation, a corporation incorporated under the laws of Delaware (the "Seller").
