THIS AMENDED AND RESTATED CHANGE IN CONTROL SEVERANCE AGREEMENT (“Agreement”) is made and entered into as of this 31st day of January, 2011 (the “Effective Date”), by and among Teledyne Technologies Incorporated, a Delaware corporation (hereinafter referred to as the “Company”), and Sue L. Main, an individual residing at the address set forth on the signature page of this Agreement (the “Executive”), and amends and restates in its entirety that certain Change in Control Severance Agreement, dated March 29, 2004 by and among the Company and Executive, as amended on December 31, 2008 (the “Original Agreement”).
