THIS FIRST AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”) is made as of January 1, 2005 (the “Effective Date”), by and between Q COMM INTERNATIONAL, INC., a Utah corporation (the “Company”), having its principal place of business at 510 East Technology Ave. Building C, Orem, Utah 84097, and MICHAEL D. KEOUGH, residing at 2512 Haven Lane, Salt Lake City, UT 84117 (the “Executive”).
