This DISTRIBUTION AGREEMENT (the “Agreement”) is made and entered into effective May 31, 2007 (“Effective Date”), by and between SecureAlert, Inc., a Utah corporation (the “Company”), with its principal executive office located at 150 West Civic Center Drive, Suite 400, Sandy, UT 84070, and Quest Guard, Inc., a Utah Corporation (“Distributor”), with its principal executive office located at 3826 River Road, St. George, UT 84770.
