AGREEMENT dated April 27, 2009 by and among WUXI BAOSHIYUN AUTOCYCLE CO., LTD. and MR. BAO JIN. (hereinafter referred to collectively as the “Selling Shareholders”); CASHTECH INVESTMENT LIMITED, a company organized under the International Business Companies Act of the British Virgin Island with the register number of 578455 (hereinafter referred to as “Cashtech”); and ADVANCED BATTERY TECHNOLOGIES, INC., a corporation organized under the laws of the State of Delaware (hereinafter referred to as “ABAT”).
