This License Agreement (this “Agreement”) is made effective February 27, 2009 (the “Effective Date”) by and between RemoteMDx, Inc., a Utah corporation (“RemoteMDx” or “Licensor”) and Volu-Sol Reagents Corporation, a Utah corporation (“Volu-Sol” or “Licensee”). Each of Licensor and Licensee may be referred to herein as a “Party” or together as the “Parties.”

In witness whereof, intending to be legally bound, the parties have signed below to enter the attached Patent License Agreement and Exhibits (this “Agreement”) as of the Effective Date with the terms and conditions that follow. Capitalized terms not otherwise defined are set forth in Section 9 of this Agreement.

This Distribution and License Agreement (this “Agreement”) is made effective May 28, 2009 (the “Effective Date”) by and between Volu-Sol Reagents Corporation, a Utah corporation (“Licensor”), and euromicron AG, a German corporation (“Licensee”). Licensor and Licensee may be referred to herein as a “party” or together as the “parties.”
