This Agreement (the “Agreement”) is entered into effective March 17, 2010 by and among Charles Volk (‘Volk”), Paxton Energy, Inc., a Nevada corporation (“Paxton”), Robert Freiheit (“Freiheit”) and Tom Manz (“Manz”).
