This PREFERRED SHARES RIGHTS AGREEMENT (this “Agreement”), dated as of June 3, 2014, is by and between Pacific Sands, Inc., a Nevada corporation (the “Company”), and Corporate Stock Transfer Company, as rights agent (the “Rights Agent”). All capitalized terms that are used in this Agreement shall have the respective meanings given thereto in Section 1.
