This Membership Interest Purchase Agreement (this “Agreement”) is entered into as of January 28, 2015, by and among Alpine 4 Automotive Technologies Ltd., a Delaware corporation (the “Buyer”), Clean Choice Solar, LLC, a California limited liability company (the “Company”), and Kort Potter and Barnaby Baker (each, a “Seller” and collectively, the “Sellers”). The Buyer, the Sellers, and the Company may each be referred to herein as a “Party” and collectively as the “Parties.”
