This Plan of Liquidation and Dissolution (the "Plan"), dated as of December 31, 2016, is entered into by and between American Tax Credit Properties II L.P., a Delaware limited partnership (the "Partnership"), and Richman Tax Credit Properties II L.P., a Delaware limited partnership (the "General Partner"), and is intended to accomplish the complete liquidation and dissolution of the Partnership. Certain capitalized terms used but not defined herein have the meanings assigned to them in the Partnership Agreement (as defined below).
