This Stockholders Agreement (this “Agreement”), dated effective as of June 16, 2020 (the “Effective Date”), is entered into among Boxabl Inc., a Nevada corporation (the “Company”), Paolo Tiramani (“Paolo”), Galiano Tiramani (“Galiano” and, together with Paolo Tiramani, the “Initial Stockholders” and each an “Initial Stockholder”), and each other Person who after the date hereof acquires Shares of the Company and becomes a party to this Agreement by executing a Joinder Agreement (such Persons, collectively with the Initial Stockholders, the “Stockholders”).

This Exclusive License Agreement (“Agreement”), effective as of the 16th day of June, 2020 (“Effective Date”), is made by and between BUILD IP LLC, a Nevada limited liability company (“Licensor”), and BOXABL INC., a Nevada corporation (“Licensee”). Licensor and Licensee may be referred to herein collectively as the “Parties” and individually as a “Party.”
