THIS AMENDED AND RESTATED LIMITED LIABILITY AGREEMENT (this “Agreement”) is entered into as of the 30th day of June, 2023 (the “Effective Date”), by and among WiProsper Ventures, LLC, an Ohio limited liability company (the “Company”), and those parties whose names are set forth on the signature pages hereto and any other parties who from time to time may execute the Joinder attached hereto as Exhibit A (the “Members”).
