LLC (“Dealer”) and Align Technology, Inc. (“Issuer”) on the Trade Date specified below (the “Transaction”). This Transition Agreement (“Agreement”) is made by and between Thomas M. Prescott (“Executive”) and Align Technology, Inc. (the “Company”) (collectively referred to as the “Parties” or individually referred to as a “Party”).
