THIS AGREEMENT is made this 29th day of March, 2017, between Fidelity D & D Bancorp, Inc. ("Corporation") and The Fidelity Deposit and Discount Bank ("Bank"), whose primary place of business is at Blakely and Drinker Streets, Dunmore, PA 18512 and Michael J. Pacyna ("Executive"), an individual residing at 202 White Tail Lane, Clarks Summit, PA 18411 (collectively, the "Parties”; individually, a "Party").
