THIS FIRST AMENDMENT TO CREDIT AGREEMENT dated as of December 31, 2013 (this “Amendment”) is entered into among EARTHLINK, INC., a Delaware corporation (the “Borrower”), the Guarantors, the Lenders and REGIONS BANK, in its capacities as Administrative Agent and Collateral Agent. All capitalized terms used in this Amendment and not defined herein have the respective meanings ascribed to them in the Agreement and Plan of Merger, dated as of December 30, 2013 (the “Merger Agreement”), by and among EarthLink, Inc., HoldCo and EarthLink.
