THIS COMMON STOCK PURCHASE WARRANT (the “Warrant”) certifies that, for value received, _______________or its assigns (the “Holder”) is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after the Issue Date set forth above (the “Initial Exercise Date”) and on or prior to the earlier to occur of (i) the close of business on the fifth anniversary of the Initial Exercise Date and or (ii) the date fixed for redemption of this Warrant as provided in Section 5 of this Warrant (the “Termination Date”) but not thereafter, to subscribe for and purchase from Boston Therapeutics, Inc., a Delaware corporation (the “Company”), up to the number of shares of the Company’s common stock, $0.001 par value (“Common Stock”) equal to the warrant shares set forth above (as subject to adjustment hereunder, the “Warrant Shares”).
