WGL Holdings, Inc., a Virginia corporation (the “Company”), confirms its agreement with TD Securities (USA) LLC (“TD Securities”) and Wells Fargo Securities, LLC (“Wells Fargo” and, collectively with TD Securities, “you”) and each of the other Underwriters named in Schedule I hereto (collectively, the “Underwriters,” which term shall also include any underwriter substituted as hereinafter provided in Section 9 hereof), for whom TD Securities and Wells Fargo are acting as representatives (in such capacity, the “Representatives”), with respect to the issue and sale by the Company of $300,000,000 in aggregate principal amount of Floating Rate Notes due November 29, 2019 (the “Notes”). The Company proposes to issue the Notes under its Indenture, to be dated as of November 29, 2017 (the “Base Indenture”), between the Company and The Bank of New York Mellon, as trustee (the “Indenture Trustee”), as amended and supplemented by a supplemental indenture, to be dated as of November 29, 2017 (the
