This REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of January 27, 2022, by and among Northern Oil and Gas, Inc., a Delaware corporation (the “Company”), Veritas Permian II, LLC, a Delaware limited liability company (“Permian II”), and Veritas MOC Holdings, LLC, a Delaware limited liability company (“MOC Holdings”, together with Permian II and any Permitted Transferee (as defined herein), each, a “Holder” and collectively, the “Holders”).
