This Indemnification Agreement (this “Agreement”) is made as of January 23, 2001, by and between Corillian Corporation, an Oregon corporation (the “Company”), and the individual whose name appears below the word “Indemnitee” on the signature page of this Agreement (the “Indemnitee”). In consideration of the services of the Indemnitee to the Company, and to induce the Indemnitee to continue to serve as an officer and/or director, the Company and the Indemnitee agree as follows:
