THIS AMENDMENT TO CREDIT AGREEMENT (the "Amendment") is made and dated as of the 27th day of August, 2001 by and between UNITED CALIFORNIA BANK, a California banking corporation formerly known as Sanwa Bank California ("Bank") and SCHEID VINEYARDS CALIFORNIA INC., a California corporation (the "Borrower") and amends that certain Line of Credit Agreement (Reducing Commitment) dated as of July 24, 1995 (as amended, modified or waived from time to time including, without limitation, pursuant to a First Amendment to Line of Credit Agreement dated as of April 24, 1998 and a Second Amendment to Line of Credit Agreement dated as of June 30, 1998, the "Agreement") between the Borrower and the Bank.
