THIS CERTIFIES THAT, for value received in connection with the advance of funds described in that certain promissory note dated the same date hereof, DELTA FUND, LP, with its principal office at 3000 Sand Hill Road, Building 3, Suite 290, Menlo Park, California, or assigns (the “Holder” or “Purchaser”), is entitled to subscribe for and purchase at the Exercise Price (defined below) from ON STAGE ENTERTAINMENT, INC., a Nevada corporation, with its principal office at 4625 West Nevso Drive, Las Vegas, Nevada (the “Company”) nineteen thousand two hundred seventy-seven (19,277) shares of common stock of the Company (the “Common Stock”), as provided herein.
