The Receivers were appointed to be joint administrative receivers of the Companies by the Bank on 6 May 2002 in accordance with the power of the Bank given by debentures executed by each of the Companies and dated 22 February 2002.

In consideration of the sum of Five Thousand Pounds Sterling (£5,000) in immediately available funds (the “Purchase Price”) to be paid by 5:00 p.m. (Central Daylight Time) as of the date hereof, or such later time as the parties agree, to Marwood Distribution Systems, Inc., a New York corporation (hereinafter “Seller”), by Lawson Software Limited, a company incorporated in England and Wales (hereinafter “Buyer”), and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Seller and Buyer hereby enter into this Bill of Sale (the “Agreement”) and agree as follows:
