This Agreement is made as of the Effective Date between Cincinnati Bell Inc., an Ohio corporation (“Employer”), and David A. Torline (“Employee”). For purposes of this Agreement, “Effective Date” means the date following the day which Employer distributes to its shareholders all of the common shares of Convergys Corporation owned by Employer after the initial public offering of Convergys Corporation common shares.
