This Amendment to Master Security Agreement and Other Related Documents is made as of February 25, 2000, by and between General Electric Capital Corporation, for itself and as agent for certain participants (“Secured Party”) and Atchison Casting Corporation (“Debtor”). The parties entered into that certain Master Security Agreement dated as of December 29, 1999 (the “Agreement”). THIS MASTER SECURITY AGREEMENT, made as of December 29, 1999 (“Agreement”), by and between General Electric Capital Corporation, for itself and as agent for certain Participants, a New York corporation with an address at 4 North Park Drive, Suite 500, Hunt Valley, Maryland 21030, and its assigns (together with its successors and assigns, if any, “Secured Party”), and Atchison Casting Corporation, a corporation organized and existing under the laws of the State of Kansas with its chief executive offices located at 400 S. As you know, you are currently in violation of the financial covenants set forth in Section 2(m)(1) and 2(m)(3) of that certain Master Security Agreement dated as of December 29, 1999 (the “Master Security Agreement”), between General Electric Capital Corporation, for itself and as agent for certain Participants (“Secured Party”) and you. These violations are with respect to your financial reporting periods ending June 30, 2000, September 30, 2000, December 31, 2000, and March 31, 2001 (the “Violations”). You have requested that we forbear from exercising any rights and remedies available to us as a result of such Violations. Subject to the following terms and conditions set forth in this letter, we are willing to forbear from exercising any rights and remedies available to us solely as a result of such Violations through and including September 30, 2001.
