ILEX Oncology, Inc., a Delaware corporation (the “Company”), proposes to issue and sell to the Underwriters named in Schedule A annexed hereto (the “Underwriters”), for whom you are acting as representative(s), an aggregate of 5,500,000 shares of Common Stock, $0.01 par value per share (the “Common Stock”), of the Company, and the Cancer Therapy and Research Center Endowment, a non-profit Texas corporation (the “Selling Stockholder”), proposes to sell to the several Underwriters 500,000 shares of Common Stock (said shares to be issued and sold by the Company and to be sold by the Selling Stockholder collectively, the “Firm Shares”).
