This GUARANTEE AGREEMENT (the “Guarantee”), dated as of October 14, 2003, is executed and delivered by Mission Community Bancorp, incorporated in California (the “Guarantor”), and Wells Fargo Bank, National Association, a national banking association with its principal place of business in the State of Delaware, as trustee (the “Guarantee Trustee”), for the benefit of the Holders (as defined herein) from time to time of the Capital Securities (as defined herein) of Mission Community Capital Trust I, a Delaware statutory trust (the “Issuer”).

PURCHASE AGREEMENT, dated as of October 10, 2003 (this “Agreement”), among Mission Community Capital Trust I, a statutory trust created under the laws of the State of Delaware (the “Issuer”), Mission Community Bancorp, a California corporation, as Sponsor under the Trust Agreement, as defined below (the “Sponsor” and, together with the Issuer, the “Trust Parties”), and Bear, Stearns & Co. Inc., as initial purchaser (the “Initial Purchaser”).
