This LAND EARTH STATION SERVICES AGREEMENT (the “Agreement”) is effective as of November 29, 2000 (the “Effective Date”), between Motient Services Inc., a Delaware corporation (“Motient”), and Aether Systems, Inc., a Delaware corporation (“Aether”).

THIS AMENDMENT (the “Amendment”) to the Terrestrial Network Reseller Agreement dated November 29, 2000, between MOTIENT COMMUNICATIONS INC. (“MOTIENT COMMUNICATIONS”) and AETHER SYSTEMS, INC. (“AETHER”) and the Private Network Satellite Services Agreement dated November 29, 2000 between MOTIENT SERVICES INC. (“MOTIENT SERVICES”) and AETHER is entered into as of October 9, 2001 (the “Amendment Effective Date”) by and between MOTIENT COMMUNICATIONS, MOTIENT SERVICES, and AETHER.

This PRIVATE NETWORK SATELLITE SERVICES AGREEMENT (“Agreement”) is made as of this 29th day of November, 2000, by and between Motient Services Inc. (“Motient”), a wholly-owned subsidiary of Motient Corporation, both of which are Delaware corporations having their principal places of business at 10802 Parkridge Boulevard, Reston, Virginia 201915416, and Aether Systems, Inc., (“private network customer,” or “PNC”) a Delaware corporation having its principal place of business at 11460 Cronridge Drive, Owings Mills, Maryland, 21117.

THIS TERRESTRIAL NETWORK RESELLER AGREEMENT (the “Agreement”) is entered into as of November 29, 2000, between Aether Systems, Inc., a Delaware corporation, with offices at 11460 Cronridge Drive, Owings Mills, Maryland, 21117 (“Aether Systems”) and Motient Communications Company (“Motient”), a New York general partnership and wholly owned subsidiary of Motient Corporation, with offices at 10802 Parkridge Boulevard, Reston, Virginia, 20191-5416.
