This Subcontract Agreement, effective 28 August 2003 is made between SCIENCE APPLICATIONS INTERNATIONAL CORPORATION (hereinafter known as “Buyer”), a Delaware corporation with principal offices in San Diego, California, and Isis Pharmaceuticals, Inc. (hereinafter known as “Seller”), a corporation, with principal offices in Carlsbad, CA. . The effort to be performed by Seller under this Subcontract will be part of Buyer’s Prime Contract #MDA972-00-C-0053 that has been issued by Defense Advanced Research Projects Agency (DARPA). The work, defined in Attachment I (Statement of Work and Schedule) will be performed on a Time and Material/Labor Hour basis, in accordance with Schedule A (Specific Terms and Conditions), and any referenced document in section 17.0 of this agreement.
